By accessing or using BizPorche, you agree to be bound by these terms. Please read them carefully.
1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the BizPorche website, software applications, artificial intelligence (AI) features, reports, documentation, and related services (collectively, the “Services”).
By creating an account, starting a free trial, purchasing a subscription, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to comply with these Terms and any policies referenced within them, including our Privacy Policy, Refund & Cancellation Policy, Cookie Policy, and Acceptable Use Policy.
If you do not agree with these Terms, you must not access or use the Services.
2. Acceptance of these Terms
These Terms form a legally binding agreement between you and the Company.
By accessing or using the Services, you confirm that you:
- have read and understood these Terms;
- agree to be bound by these Terms and the policies referenced in them; and
- have the legal capacity to enter into this agreement.
If you do not agree to any part of these Terms, you must not create an account or use the Services.
If you continue to use the Services after these Terms or any applicable policy has been updated, your continued use will constitute acceptance of the updated Terms, subject to the notice requirements described in Section 30.
3. Definitions
For purposes of these Terms, the following definitions apply:
“Company,” “we,” “us,” and “our” refer to BizPorche.
“You” and “your” refer to the individual who creates an account, accesses, or uses the Services.
“Account” means your registered account used to access the Services.
“Services” means the software, websites, applications, AI features, reports, documentation, updates, and related services made available to you.
“User” means any individual authorized to access or use the Services through an Account.
“Customer Data” means information, records, documents, files, transactions, reports, and other content that you upload, enter, import, create, or otherwise submit through the Services.
“Subscription” means a paid plan that provides access to specified Services for a defined subscription period.
“Free Trial” means the fourteen (14) day trial period offered to eligible users without subscription charges.
“Subscription Period” means the period for which you have purchased access to a Subscription, whether monthly or annually.
“Third-Party Services” means services, applications, platforms, payment providers, integrations, or other products operated by parties other than us.
4. Eligibility
To access or use the Services, you must:
- be at least eighteen (18) years of age or the age of legal majority in your jurisdiction;
- have the legal capacity to enter into a binding agreement;
- provide accurate and complete information when creating an Account;
- maintain accurate and up-to-date Account information; and
- comply with these Terms and all applicable laws and regulations.
You may not create or use an Account if you are legally prohibited from using the Services.
We reserve the right to refuse registration or restrict access where we reasonably believe that these eligibility requirements have not been met.
5. Account Registration
Some features of the Services require you to create an Account.
When creating an Account, you agree to provide accurate, complete, and current information and to update that information when necessary.
You are responsible for maintaining the confidentiality and security of your login credentials.
You agree to:
- keep your username, password, and other authentication information confidential;
- use reasonable security measures to protect your Account;
- not share your Account credentials with unauthorized individuals;
- notify us promptly if you suspect unauthorized access to your Account; and
- ensure that information associated with your Account remains accurate and current.
You are responsible for activities carried out through your Account unless the activity results directly from a security failure attributable to us.
We may temporarily restrict access to an Account where we reasonably believe that the Account has been compromised, used fraudulently, or presents a security risk.
6. Subscription Plans
The Services are offered through subscription plans that may include monthly and annual billing options.
Each Subscription provides access to the features and functionality associated with the selected plan.
The available features, usage limits, storage limits, and other conditions may vary between plans.
We may introduce new Subscription plans, modify existing plans, or discontinue plans from time to time.
Any changes to your existing Subscription will be handled in accordance with these Terms and any applicable notice requirements.
7. Free Trial
Eligible users may receive a fourteen (14) day Free Trial.
The Free Trial is provided solely for the purpose of evaluating the Services before purchasing a paid Subscription.
We may determine eligibility for a Free Trial and may limit, modify, suspend, or discontinue Free Trial availability at any time.
We may also restrict multiple Free Trials for the same individual, Account, business, payment method, or other identifying circumstances where we reasonably believe the trial system is being misused.
If you provide a valid payment method during registration and do not cancel before the Free Trial ends, your Subscription may automatically convert to the selected paid plan.
The applicable pricing and renewal terms will be presented to you before or during the Subscription process.
8. Fees, Billing and Automatic Renewal
Paid Subscriptions are billed in advance according to the billing cycle you select.
Subscriptions may be billed monthly or annually, depending on the plan selected at the time of purchase.
By purchasing a Subscription, you authorize us and our authorized payment providers to charge your selected payment method for:
- applicable Subscription fees;
- applicable taxes and government charges; and
- other amounts properly payable under these Terms.
Unless you cancel your Subscription before the applicable renewal date, it will automatically renew for the same Subscription Period.
You are responsible for ensuring that your payment information remains accurate, valid, and up to date.
If a payment fails or cannot be processed, we may notify you and provide an opportunity to update your payment method. We may restrict or suspend access to paid features if the outstanding amount remains unpaid.
Cancellation of a Subscription prevents future renewal but does not automatically entitle you to a refund for amounts already charged. Refund eligibility is governed by our Refund & Cancellation Policy.
9. Payment Methods
We may make various payment methods available through third-party payment providers.
Available payment methods may vary depending on your location, selected Subscription, payment provider availability, and other factors.
When using a third-party payment provider, you may also be subject to that provider’s terms, conditions, and privacy practices.
We do not store complete payment card details unless expressly stated in our Privacy Policy. Payment information may be processed and stored by authorized third-party payment providers in accordance with their applicable security and privacy practices.
You authorize the applicable payment provider to process payments necessary to complete your Subscription purchase and recurring payments.
10. Taxes
Subscription fees may be subject to applicable taxes, duties, levies, or governmental charges.
Where required by applicable law, we may collect and remit applicable taxes.
You are responsible for any taxes or governmental charges applicable to your purchase or use of the Services that are not collected by us.
If you are required to withhold any taxes from payments made to us, you must provide appropriate documentation confirming such withholding where reasonably requested.
11. License to Use the Services
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Services during your applicable Subscription Period.
This license is provided solely for your personal or internal business use and does not transfer ownership of the Services or any underlying technology to you.
Except as expressly permitted by these Terms or applicable law, you may not:
- copy, reproduce, modify, or create derivative works of the Services;
- sell, resell, lease, rent, sublicense, distribute, or commercially exploit the Services;
- reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying technology;
- access the Services for the purpose of building a competing product or service;
- remove or alter proprietary notices or intellectual property markings;
- interfere with the operation, security, or integrity of the Services;
- use automated methods to scrape, extract, or collect information from the Services without authorization; or
- attempt to gain unauthorized access to the Services, Accounts, systems, or networks.
We reserve all rights not expressly granted to you under these Terms.
12. Customer Responsibilities
You are responsible for your use of the Services and for the information and content you enter into your Account.
You agree to:
- use the Services only for lawful purposes;
- provide accurate information;
- maintain the security of your Account;
- review information entered into the Services for accuracy;
- maintain appropriate backups of important records where necessary;
- ensure that your use of the Services complies with applicable laws and regulations; and
- ensure that you have the necessary rights and permissions to submit Customer Data to the Services.
You are responsible for determining whether the Services are appropriate for your particular business, financial, accounting, legal, or operational requirements.
The Services may assist you with business management and related activities, but you remain responsible for reviewing information and making your own business decisions.
13. Acceptable Use
You may not use the Services to:
- violate any applicable law or regulation;
- infringe or misappropriate the rights of another person or organization;
- upload or transmit malicious code, viruses, or other harmful material;
- attempt to gain unauthorized access to another Account or system;
- interfere with or disrupt the Services;
- conduct fraudulent, deceptive, or unlawful activities;
- use the Services to transmit spam or unauthorized communications;
- abuse, harass, threaten, or harm others;
- circumvent security or access controls;
- probe, scan, or test the vulnerability of the Services without authorization;
- use the Services to develop or operate a competing service through unauthorized access or extraction; or
- use the Services in any manner that could reasonably harm the security, availability, integrity, or reputation of the Services.
We may take appropriate action, including restricting or suspending access, if we reasonably believe that the Services are being used in violation of this section or our Acceptable Use Policy.
14. Artificial Intelligence Features
The Services may include artificial intelligence and machine learning features designed to generate insights, recommendations, summaries, analysis, predictions, or other outputs based on information available through your Account.
AI-generated outputs are provided for informational and decision-support purposes only.
You understand and agree that:
- AI-generated outputs may contain errors, inaccuracies, omissions, or incomplete information;
- AI outputs should not be treated as a substitute for professional financial, legal, tax, accounting, medical, or other professional advice;
- you are responsible for reviewing AI-generated information before relying on it;
- you remain responsible for decisions made based on AI-generated outputs; and
- we do not guarantee that AI-generated outputs will always be accurate, complete, current, or suitable for your particular circumstances.
You should not rely solely on AI-generated information when making decisions that could result in significant financial, legal, regulatory, or other consequences.
Where AI features process Customer Data, such processing will be subject to our Privacy Policy and applicable data protection requirements.
15. Customer Data
You retain ownership of the Customer Data that you submit, upload, create, or otherwise provide through the Services.
You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, reproduce, and otherwise use Customer Data only to the extent reasonably necessary to:
- provide and operate the Services;
- maintain and secure the Services;
- provide customer support;
- prevent fraud and misuse;
- troubleshoot and improve service performance; and
- comply with applicable legal obligations.
You represent and warrant that you have all rights, permissions, and lawful authority necessary for us to process Customer Data as contemplated by these Terms.
We do not claim ownership of your Customer Data merely because you use the Services.
You are responsible for ensuring that the information you submit to the Services is accurate and that you have the necessary rights and permissions to use and process that information.
Where the Services provide data export functionality, you may export eligible information in the formats and within the limits supported by the Services.
16. Privacy and Data Protection
Our collection, use, storage, and processing of personal information are described in our Privacy Policy.
By using the Services, you acknowledge that certain information may be collected and processed as necessary to provide, maintain, secure, and improve the Services.
We will handle personal information in accordance with applicable privacy and data protection laws and our Privacy Policy.
You are responsible for ensuring that any personal information you provide through the Services may lawfully be processed for the purposes for which you provide it.
17. Data Security
We use reasonable technical and organizational measures designed to protect information processed through the Services against unauthorized access, loss, misuse, alteration, or disclosure.
However, no online service or method of electronic transmission can be guaranteed to be completely secure.
You are responsible for maintaining appropriate security practices for your Account, including protecting your login credentials and devices used to access the Services.
If we become aware of a security incident that requires notification under applicable law, we will take reasonable steps to investigate the incident and provide notifications where legally required.
18. Intellectual Property Rights
The Services and all related technology, software, interfaces, designs, trademarks, logos, graphics, documentation, content, and other materials provided by us are owned by or licensed to us and are protected by applicable intellectual property laws.
Except for the limited right to use the Services granted under these Terms, no ownership or other intellectual property rights are transferred to you.
You may not use our trademarks, logos, branding, or other proprietary materials without our prior written permission, except where permitted by applicable law.
You retain ownership of your Customer Data, subject to the rights granted to us under these Terms.
Any feedback, suggestions, or ideas you voluntarily provide regarding the Services may be used by us without restriction or compensation, provided that such use does not disclose your confidential information or Customer Data.
19. Third-Party Services
The Services may integrate with or rely on Third-Party Services, including payment providers, cloud infrastructure providers, authentication services, analytics services, communication platforms, and other external services.
Your use of Third-Party Services may be subject to separate terms and privacy policies established by the relevant third party.
We are not responsible for the availability, security, functionality, content, or policies of Third-Party Services that are outside our reasonable control.
If a Third-Party Service becomes unavailable or changes its functionality, certain features of the Services may be affected.
20. Service Availability
We aim to keep the Services available and reliable, but we do not guarantee that the Services will always be uninterrupted, error-free, or available at all times.
The Services may occasionally be unavailable due to:
- scheduled maintenance;
- emergency maintenance;
- software updates;
- infrastructure or network issues;
- security incidents;
- failures of Third-Party Services;
- events beyond our reasonable control; or
- other technical or operational circumstances.
Where reasonably practicable, we may provide advance notice of planned maintenance that is expected to materially affect availability.
21. Updates and Product Changes
We continuously improve and develop the Services.
We may add, modify, replace, or remove features from time to time.
Changes may be made for reasons including:
- security improvements;
- technical upgrades;
- legal or regulatory requirements;
- performance improvements;
- changes in technology;
- user experience improvements; or
- changes to our business or service model.
We will not intentionally remove a core feature of a paid Subscription without reasonable notice where such notice is practicable.
Certain changes may require you to update your software, browser, application, or device to continue using the Services.
22. Suspension of Services
We may temporarily suspend or restrict access to the Services if reasonably necessary to:
- protect the security or integrity of the Services;
- prevent fraud or unauthorized activity;
- address a security threat;
- comply with applicable law or a legal requirement;
- address a violation of these Terms;
- address overdue payments; or
- protect our systems, users, or other customers.
Where reasonably practicable, we will provide notice before suspension and take reasonable steps to restore access once the reason for suspension has been resolved.
We may immediately suspend access where necessary to address an urgent security, legal, or safety risk.
23. Termination
You may terminate your Account or cancel your Subscription at any time in accordance with the applicable cancellation process.
We may terminate or restrict your access if:
- you materially breach these Terms;
- you engage in fraudulent or unlawful activity;
- you misuse the Services;
- you fail to pay applicable fees;
- continued access creates a security or legal risk; or
- we are required to do so by law.
Where appropriate, we may provide notice and a reasonable opportunity to resolve the issue before termination.
Upon termination, your right to access the Services will end, subject to any applicable post-termination data access or retention period described in our policies.
24. Refunds and Cancellations
Subscription cancellations and refunds are governed by our Refund & Cancellation Policy.
Unless otherwise stated in that policy or required by applicable law, cancelling a Subscription will prevent future renewal but will not automatically result in a refund for amounts already paid.
Any refund eligibility, applicable conditions, processing periods, and exceptions will be described in the Refund & Cancellation Policy.
25. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an “as available” and “as is” basis.
We do not guarantee that:
- the Services will always be available or uninterrupted;
- the Services will be completely error-free;
- all information generated through the Services will be accurate or complete;
- the Services will meet every particular business or personal requirement; or
- any particular result will be achieved through use of the Services.
You are responsible for evaluating whether the Services are suitable for your needs.
Nothing in these Terms excludes any warranty, right, or protection that cannot lawfully be excluded under applicable law.
26. Limitation of Liability
To the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of or inability to use the Services.
This may include loss of:
- profits;
- revenue;
- business opportunities;
- goodwill;
- anticipated savings;
- data; or
- business interruption.
To the maximum extent permitted by law, our total liability arising from or relating to the Services or these Terms will not exceed the amount you paid to us for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.
27. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company, its affiliates, officers, employees, contractors, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from:
- your violation of these Terms;
- your unlawful use of the Services;
- your infringement of another person’s rights;
- Customer Data that you submit to the Services; or
- your misuse of the Services.
We reserve the right to assume exclusive control of the defense of any matter subject to indemnification, in which case you agree to reasonably cooperate with us.
28. Confidentiality
You may receive or have access to information that is confidential or proprietary to us in connection with your use of the Services.
You agree not to disclose or misuse confidential information except:
- as necessary to use the Services;
- with our prior written permission;
- where disclosure is required by law; or
- where the information has become publicly available through no breach of these Terms.
Similarly, we will use reasonable measures to protect confidential Customer Data and information provided to us, subject to our Privacy Policy and our rights to operate and provide the Services.
Information that is already publicly available, independently developed, or lawfully obtained from another source will not be considered confidential solely because it was disclosed during use of the Services.
29. Governing Law and Dispute Resolution
These Terms are governed by and interpreted in accordance with the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles.
Any dispute arising from or relating to these Terms or the Services should first be addressed by contacting us through the contact methods available on the Website.
We encourage you and us to make reasonable efforts to resolve disputes informally before pursuing formal proceedings.
If a dispute cannot be resolved informally, it will be subject to the jurisdiction of the competent courts of Pakistan, unless applicable law requires otherwise.
Nothing in this section limits any mandatory rights or remedies available to consumers under applicable law.
30. Changes to these Terms
We may update these Terms from time to time to reflect changes to the Services, our business practices, legal requirements, or other circumstances.
When we make material changes, we will provide reasonable notice through the Services, Website, email, or another appropriate method.
The updated Terms will become effective on the date stated in the revised Terms.
Your continued use of the Services after the effective date of updated Terms constitutes acceptance of those changes, unless applicable law requires a different form of consent.
If you do not agree with material changes, you may stop using the Services and cancel your Subscription before the changes take effect.
